Terms of use

Terms of use of 3Pii UG (haftungsbeschränkt) hereinafter referred to as 3Pii.

With effect from 03.02.2022

 
3Pii’s mission is to provide customers and members with the knowledge and tools to drive the development of their organization in an informed and controlled way.

Our services are designed to allow our clients and members to network, share knowledge, exchange ideas about projects, and utilize targeted services to implement their projects.

By its very nature, this offer is in constant development, as we take in experience, analyze it, and incorporate it back into the offer.

For the protection of our customers and members, no new members will be accepted in this area without prior review.

 

1. Introduction

1.1 Contract

By using our services, you agree to the terms and conditions. Your use of our services is subject to our Cookie Policy and Privacy Policy. It describes how we collect, use, share and store your personal information.

You agree that you are entering into a legally binding contract with 3Pii (including when using our Services on behalf of a business) when you register with, access, or use our Services (as described below) by clicking “Sign Up Now,” “Register,” or similar means. If you do not agree to this Agreement (“Agreement” or “User Agreement”), do not click “Sign Up Now,” “Register,” or the like, and do not access any of our Services in any manner. If you wish to terminate this Agreement, you may do so at any time by closing your account and by no longer accessing or using our Services. You can contact info@3pii.de at any time.

Services

This contract is only valid for the services offered by 3Pii.de in the areas requiring registration.
You are entering into this Agreement with 3Pii (also referred to as “we” or “us”).
At this time, the term “designated countries” refers only to the Federal Republic of Germany.

If you are located in “Designated Countries”, you are entering into this Agreement with 3Pii UG (haftungsbeschränkt in Germany. 3Pii becomes the data controller for your personal data provided to, collected for, or processed by or in connection with our Services.

This contract applies to customers and members.

As a customer or member of our Services, the collection, use and disclosure of your personal information is subject to this Privacy Policy (including our Cookie Policy and other documents referenced in this Privacy Policy) and any updates thereto.

1.2. Customers and members

When you register, you become a member of 3Pii.

1.3 Change

We are entitled to make changes to this contract.

We have the right to change this Agreement, our Privacy Policy, and our Cookie Policy. If we make changes, we will notify you through our Services or otherwise so that you have an opportunity to review the changes before they become effective.

We agree that changes cannot be made retroactively. If you do not agree with any changes, you can close your account.

We relied on active commitments. We will therefore not automatically continue your account if no response is received within the specified commitment period. In this case, your account will be temporarily set to “dormant”.

2. Duties

2.1 Access to the services

In this agreement, you warrant to us, among other things, the following:
You are entitled to conclude this contract.

The Services are not intended for use by minors under the age of 18.
If you want to use the services, you must confirm the following:

1. You have reached the “minimum age” required for use (as set forth below),
2. You only maintain one account on 3Pii, which you have created with your real information, and
3. You have not already been barred by 3Pii from using the Services. Creating an account using false information is a violation of our Terms and Conditions, including accounts opened in the name of others or for persons under the age of 16.

The “minimum age” is the age of 16. However, if the law requires that you be older in order for 3Pii to lawfully provide you with the Services (including use of your information) without parental consent, “minimum age” means the appropriate older age.

2.2 Your account

You will keep your password secret.
You will not share an account with others and will abide by our terms and the law.
Customers and members are account holders. You agree to the following: (1) Choose a secure password, keep it secret and keep it confidential;
(2) You do not transfer any part of your account to others (for example, to contacts); and
(3) You will abide by the law and by the 3Pii Rules of Conduct (what you may and may not do on 3Pii). You are responsible for all actions taken through your account unless you have closed the account or reported abuse.

With respect to the relationship between you and other parties (including your employer), your account is yours. If the Services have been purchased for your use by another party (for example, a Services purchased by your employer), the party paying for the Services has the right to control access to the Services as well as your use of such paid Services, but does not have any rights in connection with your Personal Account.

2.3 Messages and news

You agree that we may send you communications and messages through our websites, apps and contact information. If the contact information you provide is not up to date, you may not receive important communications.

You agree that we may send you notices and messages in the following ways:
(1) within the service or
(2) to the contact information you provide (e.g., email address, cell phone number, postal address).
You agree to keep your contact information current.
Please check your settings to control and limit the messages you receive from us.

2.4 Share

When you share information on our Services, other people can see, copy, and use that information.

Our services allow you to share news and information in many ways, such as through your profile, articles, group posts, links to news articles, job postings, messages, and mails. Information and content you share or post can be seen by other members and customers.

We assume a fundamentally open and transparent knowledge culture. However, we are not obligated to post any information or content on our service and may remove it with or, in special cases, without prior notice.

3. Rights and restrictions

3.1. Your content at 3Pii

All content, all feedback, and all personal information you provide to us is your property. Further use is subject to your documented consent.

With respect to your relationship with 3Pii, you own the content and information you send to or post on the Services.

The further use of your content is therefore subject to your consent.

We may edit your content and make formatting changes (for example, by changing size, layout, or file type, or removing metadata). We do not change the meaning of your contributions.

Because you own your content and information and we have no rights to it, you may make that content and information available to others, for example, under a Creative Commons license.

You and 3Pii agree that content that contains personally identifiable information is subject to our Privacy Policy.

You agree that 3Pii may access, use and store any information and personal data that you provide in accordance with the terms of the Privacy Policy and your options (including preferences) as part of the services provided.

You agree to provide us only with information and content that you are authorized to share with us. You also warrant that the contents of your 3Pii profile are factual.

You agree to provide only content and information that does not violate the law or infringe the rights (including intellectual property rights) of others. You also agree that your profile data is true. 3Pii may be required by law to remove certain information or content.

3.2 Availability of the services

We reserve the right to change or discontinue any services or change our prices in the future.

We reserve the right to modify, suspend or terminate any portion of our Services. We also reserve the right to change our applicable prices in the future, subject to reasonable notice, to the extent permitted by law.

We do not undertake to store or continue to display any information or content published by you. 3Pii is not a storage service. You agree that we are under no obligation to make available to you or store or retain a copy of any content or information that you or anyone else provides, except as required by applicable law and as set forth in our Privacy Policy.

3.3 Other content, websites and apps

You use the content and information of others published on our services at your own risk.

Third parties can offer their own content and services through 3Pii. We are not responsible for such activities of third parties.

By using the Services, you may be exposed to content or information that may be false, incomplete, late, misleading, unlawful, offensive or otherwise harmful. As a matter of principle, we do not check the content provided by our members or third parties. You agree that we are not responsible for any third party content or information (including that of other members). We cannot always prevent this misuse of our services. You agree that we are not responsible for any such misuse.

3Pii may assist members who offer services (for example, coaching, etc.) to connect with members seeking such services.

You must be at least 18 years of age to offer, perform or receive services. You understand and agree that 3Pii does not supervise, direct, control or monitor its Members in the performance of these Services,
(1) that 3Pii is not responsible for offering, performing or procuring such services;
(2) that 3Pii does not confirm any services offered by a particular member; and
(3) that no employment, agency, or joint venture relationship is created in any way between 3Pii and any Member providing Services. If you provide Services as a Member, you acknowledge and represent that you have all necessary licenses to do so and will provide your Services in accordance with 3Pii’s policies.

Similarly, 3Pii may assist you in registering for events hosted by Members and/or attending such events and contacting other Members participating in such events. You agree,
(1) That 3Pii is not responsible for the conduct of Members or other participants in such events,
(2) That 3Pii does not in any way recommend any particular event listed on our service;
(3) that 3Pii does not evaluate and/or review such events; and
(4) that you comply with the conditions applicable to such events.

3.4 Restrictions

We may restrict your use of our services.

3Pii reserves the right to limit your use of the Services, including the number of contacts and your ability to contact other Members. 3Pii reserves the right to restrict, suspend, or terminate your account if you violate this Agreement or any law or misuse the Services (for example, by violating the Rules of Conduct).

3.5 Intellectual property rights

We draw your attention to our intellectual property rights.

3Pii reserves all intellectual property rights in the Services. The trademarks and logos used in connection with the Services are the trademarks of their respective owners. The 3Pii trademark, logos and other trademarks, service marks, graphics and logos used for our Services are trademarks or registered trademarks of 3Pii.

3.6 Automatic processing

We use non-personal data and information from you to make relevant suggestions to you and others.

We use the information and data provided by you and (other) members to provide recommendations about content and features that may be useful to you.

4. Disclaimer and limitation of liability

4.1 Exclusion of warranty

We hereby disclaim any liability for the quality, safety or reliability of our services.

3PII AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SERVICES AND DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. THE SERVICES (INCLUDING CONTENT AND INFORMATION) ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, 3PII AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, WHETHER IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF TITLE, DATA ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

4.2 Disclaimer

These are the limitations of liability that may apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW (AND TO THE EXTENT 3PII HAS NOT ENTERED INTO A SEPARATE WRITTEN AGREEMENT SUPERSEDING THIS AGREEMENT), 3PII AND ITS AFFILIATES EXCLUDE ALL LIABILITY FOR LOSS OF PROFITS OR BUSINESS OPPORTUNITY, DAMAGE TO REPUTATION (E.G., OFFENSIVE OR ABUSIVE LANGUAGE), LOSS OF DATA (E.G., DOWNTIME OR LOSS OF OR CHANGES TO YOUR INFORMATION OR CONTENT) OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES IN CONNECTION WITH THIS AGREEMENT.

3PII AND ITS AFFILIATES SHALL NOT BE LIABLE TO YOU IN CONNECTION WITH THIS AGREEMENT FOR ANY AMOUNTS THAT MAY BE (A) THE TOTAL AMOUNT OF FEES PAID OR PAYABLE BY YOU TO 3PII DURING THE TERM OF THE AGREEMENT, IF ANY; OR (B) EXCEED EUR 1,000.

4.3 Basis of the Agreement; Exclusions

The limitation of liability in this paragraph 4 is part of the basis of the agreement between you and 3Pii and applies to all liability claims (such as those relating to warranty, tort, negligence, on a contractual or legal basis) and even if 3Pii or its affiliates have been advised of the possibility of such damages and if such remedies do not achieve their intended purpose.

These limitations of liability do not apply in cases of death or personal injury, fraud, gross negligence or willful misconduct, breach of a cardinal duty, the latter being a duty that is a prerequisite for our provision of the Services and which you may rely on us to perform, but only to the extent that the damages are a direct result of the breach and were foreseeable at the time of entering into this Agreement and to the extent that they are typical damages in connection with this Agreement.

5. Termination

Either party may terminate this Agreement, but some rights and obligations will remain in effect beyond termination.

Either you or 3Pii may terminate this Agreement at any time by notifying the other party. Upon termination, you will lose the right to access or use the Services. Upon termination, the following shall continue to apply:

Customers and Members are permitted to further share content and information that you have shared through the Services.

Sections 4, 6, 7 and 8.2 of this Agreement.

Any amounts owed by either party to the other prior to termination shall continue to be owed after termination.

You can visit our account section to close your account.

6. Applicable law and dispute resolution

In the unlikely event that a dispute arises, 3Pii and you agree to resolve it in the courts of Germany, applying German law.

This paragraph is not intended to deprive you of any consumer protection rights that are mandatory by law in the country where we provide the Services to you and where you have your habitual residence.

7. General conditions

Here you will find important information about the contract.

If a court of competent jurisdiction over this Agreement finds that any part of the Agreement is unenforceable, we and you agree to the court to modify the terms so that such part is enforceable, leaving its intent unchanged. If the Court is unable to do so, both parties agree to ask the Court to remove the unenforceable portion and continue to enforce the remainder of this Agreement.

This Agreement (including any additional terms we disclose to you when you use a particular feature of the Services) is the only agreement between us relating to the Services and supersedes any prior agreements relating to the Services.

Our failure to take action to address a breach of this Agreement does not mean that 3Pii has waived its right to enforce this Agreement. You may not transfer this Agreement (or your membership or use of the Services) to any person without our permission. However, you acknowledge that 3Pii may assign this Agreement to its affiliates or to a party purchasing the Company without your authorization. There are no third-party beneficiaries in this contract.

You acknowledge that you will send legal notices to us only at the addresses set forth in Section 10.

8. What you may and may not do on 3Pii (“Do’s and Don’ts” or rules of conduct).

3Pii is company for professionals and managers and their organization. These rules of conduct restrict what you may and may not do within our Services.

8.1 What you may do

You agree with the following statements:

You will comply with all applicable laws, including without limitation, data protection laws, intellectual property laws, anti-spam laws, export regulations, tax laws and regulatory requirements.

They provide us with correct information and ensure that it is always up to date.

You use your real name in your profile.

They use the services in a professional manner.

8.2 What you must not do

You agree that you will not do the following:

Create a false identity on 3Pii, misrepresent your identity, create a member profile for someone other than yourself (a natural person), or use or attempt to use someone else’s account;

Develop, support, or use any software, device, script, robot, or other means or process (including crawlers, browser plug-ins and add-ons, and other technologies) to scrape or otherwise copy profiles and other data from the Services;

Override security features or override or bypass other access controls or usage restrictions (such as restrictions on search queries or profile views);

Copy, use, disclose or distribute information obtained directly or through third parties (such as search engines) through the Services without 3Pii’s permission;

Disclose information when you do not have permission to do so (for example, confidential information of others, including your employer);

Infringe others’ intellectual property rights, including copyrights, patents, trademarks, trade secrets, and other proprietary rights; for example, do not copy or distribute others’ posts or other content without their permission (except through the available Share feature) unless they give permission to do so by posting under a Creative Commons license;

Infringe 3Pii’s intellectual property or other rights.

Publish something that contains software viruses, worms or other malicious code;

Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code of the Services or any related technology that is not open source

Give the impression that you are affiliated with or endorsed by 3Pii (for example, impersonate a 3Pii consultant) without our express permission

Rent, lease, loan, trade, sell/resell, or otherwise monetize the Services or related data, or obtain access to the Services or related data without 3Pii’s consent;

Deep-link to our Services without 3Pii’s consent for any purpose other than to publicize your profile or promote a group on our Services;

Use bots or other automated methods to access the Services, add or download contacts, and send or redirect messages;

Monitor the availability, performance and functionality of the Services for competitive purposes;

“frame”, “mirror” or otherwise simulate the appearance or operation of the Services

Obscure the Services or their appearance or otherwise.

Interfere with the operation of the Services or place an unreasonable load on them (for example, through spam, denial of service attacks, viruses, gaming algorithms); and/or

Violate the policies or other terms relating to a particular service provided when you register for or begin using such service, or, where applicable, violate the terms for Bing Maps.

9. Content complaints

Important information if you want to report content that our members have provided.

We are considerate of the intellectual property rights of others. Accordingly, this Agreement requires that information published by Members be accurate and not infringe the intellectual property or other rights of third parties. We provide a policy and procedure for complaints about content posted by our members.
